1. Acceptance of Terms

By downloading, installing, or using the TruLedger desktop application, creating a TruLedger account, or accessing the TruLedger website, you agree to be bound by these Terms of Service and our Privacy Policy.

TruLedger is developed and operated by Salima Gani Shaikh, an independent sole proprietor in India. If you accept these Terms on behalf of a firm or organisation, you represent that you have authority to bind that entity.

2. No-Liability & Data Review Clause

TruLedger acts as a data preparation and workflow tool. It can convert supported PDFs, calculate GST values, and export Tally XML files, but it is not an autonomous bookkeeper or filing service.

Users should review exported workbooks and generated documents before filing, accounting entry, or client delivery.

TruLedger does not provide legal, tax, or audit advice, and you remain responsible for the final use of all generated outputs.

3. Software Licence & Usage

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the TruLedger desktop application on Windows computers that you own or control.

• Permitted use: one Windows machine per licence seat, for your own business or firm workflows.
• Restrictions: you may not sublicense, resell, rent, lend, reverse-engineer, decompile, or share activation credentials beyond your licensed seat count.

4. Billing, Subscriptions, and Refunds

We offer a free 14-day trial so you can evaluate whether TruLedger fits your workflow before purchase.

Once the trial ends, the application may move to a restricted or read-only access state until an active subscription is available. No local data is deleted solely because a trial expires.

Because the trial is intended to let you evaluate the software before purchase, subscription payments are treated as non-refundable unless required otherwise by applicable law. You may cancel future billing from your account dashboard.

5. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account. Notify us promptly if you believe your account has been compromised.

6. Acceptable Use

• Do not process unlawfully obtained financial documents.
• Do not use TruLedger to facilitate unlawful activity.
• Do not circumvent licence verification mechanisms.
• Do not transmit malware or interfere with our services.

7. Intellectual Property

All intellectual property rights in TruLedger, including the application, documentation, algorithms, UI, and trademarks, are owned by Salima Gani Shaikh or her licensors.

Files you create or process using the software remain your property. We do not claim ownership over locally processed user outputs.

8. Limitation of Liability

To the maximum extent permitted by applicable law, our total liability to you for claims arising out of these Terms or your use of TruLedger will not exceed the subscription fees paid by you in the 3 months immediately preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, to the extent permitted by law.

9. Software Updates

We may release updates, patches, or new versions of TruLedger at any time. Active subscribers receive updates during their subscription period. We may discontinue support for older versions with notice.

10. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms will first be subject to good-faith negotiation and, if unresolved, to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, India.
